Other Events.
 
On December 12, 2023, Wyndham Hotels & Resorts, Inc. (the “Company”) issued a press release and circulated an e-mail to Company employees confirming that Choice Hotels International, Inc. commenced an unsolicited exchange offer to acquire all the outstanding shares of common stock of the Company on December 12, 2023.  Copies of the press release and e-mail are filed as Exhibit 99.1 and Exhibit 99.2, respectively, and are incorporated herein by reference.
